Frogwerks Terms of Service

These Terms of Service (“Terms”) govern the use of the Frogwerks software platform, services, hosting environment, and related support (“Service”). By subscribing to or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.


1. Service Description

Frogwerks provides shop management, customer service, technician workflow, inventory, and related operational tools. Each subscribing shop is provisioned its own dedicated system environment and hosting resources. Features may vary by plan.


2. Setup & Onboarding Deposit (First 6 Months)

At the start of service, the subscriber pays for the first six (6) months of service upfront.
This payment is considered a Setup & Onboarding Deposit and is non-refundable, regardless of actual usage, cancellation, or change in business circumstances.

This deposit covers:

  • System deployment
  • Initial configuration
  • Hosting environment provisioning
  • Base onboarding support

3. Billing & Renewal

After the initial six-month deposit period, service continues month-to-month.

  • You may cancel at any time with no further obligation beyond the current billing period.
  • Failure to pay may result in system access suspension.
  • Invoices are due upon receipt unless otherwise stated.

4. No Refunds

All payments are non-refundable except where required by law.

This includes (but is not limited to):

  • Early cancellation
  • Business closure
  • Employee turnover
  • “Not using the software”
  • Technical misunderstandings or training issues

5. Support

Support levels vary by plan.

Standard Plan Support:
General assistance, system usage questions, and troubleshooting.

Enterprise Plan Support:
Direct developer interaction, customization support, and prioritized response.

Support response times are not guaranteed but are provided in good faith.


6. Customizations

Plans that include custom features or workflow adjustments involve ongoing maintenance. Customization scope is defined during onboarding. Additional custom work may require separate billing.

Customizations are applied to your shop’s system environment only and do not grant ownership rights to the underlying platform.


7. Hosting & Data

Each shop is hosted in its own isolated environment.

  • Frogwerks performs routine backups and system snapshots.
  • Annual (or plan-based) full VM exports can be provided for offline retention.
  • The subscriber is responsible for retaining their own business data copies if desired. CSV copy of case records is available anytime for customer through admin page in software.

We maintain commercially reasonable efforts for system uptime, but no software can be guaranteed 100% availability.


8. Acceptable Use

You may not:

  • Attempt to reverse-engineer or copy the platform
  • Redistribute the system to additional shops without authorization
  • Use the system for illegal, fraudulent, or harmful purposes

Violation may result in account suspension.


9. Data Ownership

You own your business records, customer lists, invoices, and service history data.
Frogwerks owns the underlying software and all associated intellectual property.


10. Limitation of Liability

To the fullest extent permitted by law:

  • Frogwerks is not liable for indirect, incidental, or consequential damages.
  • Total liability shall not exceed the total amount paid by you in the past six (6) months of service.

This platform is provided as-is, with commercially reasonable support and security practices.


11. Modification of Terms

We may update these Terms occasionally. Continued use constitutes acceptance of the updated Terms.
